Terms of Service

1. Acceptance of Terms
By accessing or using DataBazaar (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not use the Platform.
These Terms apply to all users of the Platform, including human users and automated agents ("Agents") that access the Platform via API key or MCP server. Use of the Platform constitutes acceptance of any future revisions to these Terms; we will notify users of material changes via email or in-app notice.
2. Acceptable Use Policy
You agree to use the Platform only for lawful purposes and in a manner consistent with all applicable local, state, national, and international laws. The following content and activities are strictly prohibited on the Platform:
- Child Sexual Abuse Material (CSAM) — any dataset, file, or content that depicts, promotes, or facilitates the sexual exploitation of minors.
- Stolen or non-consensual personally identifiable information (PII) — including data obtained through unauthorized access, scraping that violates terms of service, or data shared without the subjects' informed consent where required by law.
- Pirated datasets — datasets distributed in violation of copyright, database rights, or other intellectual property protections held by a third party.
- Trade secrets obtained illegally — proprietary business information misappropriated through theft, breach of contract, or other unlawful means.
- Malware and malicious code — datasets containing executable code, scripts, or embedded payloads designed to harm systems or users.
- Data involving sanctioned entities — datasets sourced from, destined for, or otherwise facilitating transactions with individuals, organizations, or jurisdictions subject to applicable economic sanctions (including OFAC, EU, or UN sanctions lists).
DataBazaar reserves the right to remove any content and suspend any account that, in our sole discretion, violates this policy without prior notice.
3. Seller Responsibilities
By listing a dataset for sale on the Platform, you ("Seller") represent and warrant that:
- You own or have the full legal right to sell, license, and distribute the dataset, including all data points and any underlying intellectual property.
- The dataset does not infringe any third-party intellectual property rights, privacy rights, contractual rights, or any other rights.
- All consents, licenses, and permissions necessary to collect, store, and transfer the data have been properly obtained.
- You will promptly respond to and cooperate with any takedown requests, buyer disputes, or regulatory inquiries related to your listings.
DataBazaar is not a party to transactions between Sellers and Buyers. We provide a marketplace platform and payment processing intermediary only. DataBazaar makes no representations or warranties regarding the accuracy, completeness, or fitness for purpose of any dataset listed on the Platform and disclaims all liability for any claims arising between Sellers and Buyers.
4. Platform Fee
DataBazaar charges a 3% platform fee on every completed transaction. This fee is deducted from the Seller's proceeds at the time of payout. The Buyer pays the listed price in full; the platform fee is not an additional charge to the Buyer.
DataBazaar reserves the right to modify the platform fee with 30 days' notice to affected Sellers. Transactions initiated before the effective date of any fee change will be processed at the original fee rate.
5. Repeat Infringer Policy
DataBazaar maintains a strict repeat infringer policy in accordance with the Digital Millennium Copyright Act (DMCA) and general platform integrity standards.
A "confirmed violation" is defined as a takedown or removal action where the Seller did not successfully submit a valid counter-notice within the required window, or where DataBazaar independently determines a violation occurred.
Three (3) confirmed violations will result in permanent account suspension. Suspended accounts forfeit any pending payouts arising from infringing content. DataBazaar may, at its discretion, permanently suspend an account after fewer than three violations if the nature of the violation is sufficiently severe (e.g., CSAM or active malware distribution).
6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DATABAZAAR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM.
IN NO EVENT SHALL DATABAZAAR'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO DATABAZAAR IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [JURISDICTION — TO BE DETERMINED], without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration in accordance with the rules of [ARBITRATION BODY — TO BE DETERMINED], except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.
